Mr. Brown provides comprehensive business counseling, with a particular emphasis on the needs of start-up and closely-held businesses. He assists entrepreneurs and businesses in all phases of growth, including organization, capitalization, financing, partnership or shareholder issues and ongoing business and commercial matters. In addition, he has extensive experience representing clients in all aspects of financing, acquisition, merger and sale transactions, as well as corporate restructurings.
Mr. Brown was most recently the Vice President and General Counsel of a publicly traded specialty contractor. Prior to moving in-house in 1995, Mr. Brown practiced in the corporate department at Sills, Cummis, Radin, Tischman, Epstein & Gross, one of New Jerseys premier law firms. Mr. Brown received his law degree, with honors, in 1987 from Boston University School of Law and his undergraduate degree, with honors, in 1984 from the University of Pennsylvania. In addition to maintaining an active law practice, Mr. Brown often lectures on law related topics to business owners and executives as well as college and graduate students.
