Mr. Kallen has extensive experience relating to software and technology development and licensing, strategic alliances and related venture capital funding/investment. His background as corporate counsel to a New Jersey software technology company has provided him with first hand experience in these areas.

He is also actively involved in diverse transactional matters including mergers and acquisitions, financings, corporate restructurings and capitalization, joint ventures, shareholder agreements, marketing and distribution agreements and other contracts. In addition, he counsels start-up and mature closely-held businesses in all facets of business and commercial matters, including, shareholder/owner issues, employee/employer issues and various other business matters.

In addition, he has extensive experience in representing lenders and borrowers in all levels of commercial loan transactions.

Mr. Kallen was most recently the General Counsel for a New Jersey based software technology company. Prior to moving in-house in 2000, Mr. Kallen was a partner in the law firm of Ravin, Sarasohn, Cook, Baumgarten, Fisch and Rosen, P.C., and before that practiced in the corporate department at Sills, Cummis, Radin, Tischman, Epstein & Gross, one of New Jersey’s premier firms. Mr. Kallen received his law degree in 1979 from Seton Hall University School of Law and his undergraduate degree in 1976 from Rutgers University. Mr. Kallen also has a Masters of Laws (in Taxation) from the New York University School of Law and a Masters in Business Administration from the Rutgers University Graduate School of Management.
